Landmark Legal‘s wholly owned subsidiary, Landmark Trustees and Corporate Services (LT&CS), provides company secretarial and trustee services for corporate bodies and individuals.
LT&CS is a company which employs a team-approach to provide the most efficient and painstakingly researched solutions to meet client needs and resolve their secretarial, legal, taxation and other advisory challenges. Our carefully selected high-calibre professionals receive constant training and retraining to keep them in tune with the most cutting edge solutions. While keeping our professional staff relatively lean, we are able to deploy at short notice, adequate manpower from our network of professionals and of counsel to address various challenges. We use the most state-of-the-art technology, a well-resourced legal database and well stocked library to creatively address client problems. We also employ our network of contacts in the public sector to assist our clients to overcome any regulatory or public sector challenges.

Business Formation and Corporate Secretarial Services
LT&CS assists investors to set up businesses in Ghana promptly, efficiently and cost-effectively. We tailor-make the constitutive documents of the business to meet the needs of clients. We draft these documents with a view to addressing the most critical issues and to avoid any potential pitfalls. These includes meeting the requirements of investment and foreign exchange laws but also make the most out of the benefits offered by Ghana’s laws.
After incorporation, LT&CS is available to provide corporate secretarial services (it is mandatory that companies incorporated in Ghana should have a company secretary) to ensure that the businesses formed are not only compliant with the relevant Ghanaian statues but also carry on business in the most tax-efficient way. LT&CS helps to guide the business and its directors to navigate Ghana’s regulatory and bureaucratic maze.
Nominee/Local Director Services
LT&CS also provides nominee director services to enable companies to meet the requirements of the Companies Act, 1963 (Act 179) including the requirement that at least one director be present in Ghana at all times. Ghana’s laws require that only natural persons act as directors of companies, therefore the experience and track record of members of the LT&CS ensures that clients’ interests are represented by the most
competent and experienced persons.
The provision of director services extends to all other roles required to be performed by directors including attendance or representations at meetings.
Local Manager/Trust Services
LT&CS acts as a local advisor for companies with branch offices in Ghana registered as external companies. This becomes useful for companies that do not intend to have a more established presence or operations in Ghana. LT&CS has the requisite manpower and skills to ensure that the client is best represented in Ghana through its external office.
Legal Due Diligence Audits
LT&CS would carry out an intensive, extensive and in-depth due diligence on an entity to determine if the entity is in full compliance with their obligations according to law. LT&CS team members are the thought leaders in this area having been involved in the most high profile of due diligence as part of the processes in high value and high profile transactions.
